Welcome to GPTtheWorld™! These Terms of Service (“Terms”) govern your use of our website, AI agents (including the Shopping, Location, and Niche Wizards), and any other services we provide (collectively, the “Services”).

By accessing or using our Services, you unconditionally accept and agree to comply with and abide by these Terms in their present form and as they may be modified in the sole discretion of Advanced AI Solutions Inc. (“AAISI,” the “Company,” “we,” “us,” or “our”) from time to time. These Terms are final and binding. If you do not agree to these Terms, you are not authorized to use our Services.

1. Description of Services
The Company, through its Service called “GPTtheWorld™” provides specialized AI agents designed to assist you by accessing and processing information from external, third-party applications, websites, and data sources. Our agents are trained to gather and present information to help you with your specific needs. You acknowledge that our role is to provide the technology that facilitates this access and that we do not create, author, own, control or possess the underlying information.

2. Third-Party Content, Applications, and Services
Our AI agents access and interact with external applications, websites, and information sources (“Third-Party Services”) that are not owned, authored, or controlled by the Company. You understand and agree that:

• No Control or Authorship: We have no control over, and assume no responsibility for, the content, accuracy, legality, privacy policies, or practices of any Third-Party Services. The information our agents provide is a direct or indirect result of accessing these external sources.
• User Discretion: You are solely responsible for your use of any information obtained through our Services. You must exercise your own judgment and discretion before acting on any information provided. Your use of any Third-Party Services is at your own risk.
• Third-Party Terms: Your interactions with any Third-Party Services may be subject to their own terms of service and privacy policies. You are responsible for reviewing and complying with any such terms.

3. Content Provenance and Authenticity
To promote transparency and combat misinformation, the Company is committed to upholding the principles of content provenance. We will make commercially reasonable efforts to:

• Follow C2PA Standards: Adhere to the technical standards developed by the Coalition for Content Provenance and Authenticity (“C2PA”) to help verify the origin and authenticity of digital content where feasible.
• Implement Watermarks: Apply visible, by-default watermarks or other metadata to AI-generated content where appropriate and technically possible, indicating its origin.
• Self-Policing Agents: Train our AI agents to self-police and avoid providing information from unreliable sources, with the goal of protecting both you and the Company.

Despite these measures, we cannot guarantee the authenticity or provenance of any or all information accessed from third-party sources and accordingly, disclaim any warranty or accuracy, merchantability or fitness for any particular purpose with respect to the same.

4. User Responsibilities and Acceptable Use
By using our Services, you agree to use the information provided in a commercially and legally reasonable and ethical manner. You agree not to use the Services to directly or indirectly:

• Engage in any illegal, harmful, or fraudulent activities.
• Violate the rights of any and all third parties, including, but not limited to any and all intellectual property rights.
• Distribute misinformation, disinformation, or malicious content.
• Circumvent any security measures or access controls of the Services or any Third-Party Services.

You are solely responsible for the final application and consequences of your use of the information provided by our Services.

5. Disclaimer of Warranties and Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, AAISA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY AND ALL IMPLIED WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BY USING THE SERVICES, YOU RELEASE AAISI , ITS AFFILIATES, EMPLOYEES, OFFICERS, DIRECTORS, AND AGENTS (“AAISI PARTY(IES)”) FROM ANY AND ALL LIABILITY ARISING FROM YOUR USE OF THE SERVICES OR ANY INFORMATION OBTAINED FROM SUCH USE. IN NO EVENT SHALL ANY AAISI PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES OR THE INFORMATION PROVIDED, REGARDLESS OF THE LEGAL THEORY UNDER WHICH ANY SUCH CLAIM MAY BE BROUGHT.

YOU ACKNOWLEDGE THAT AAISI PARTIES ARE NOT LIABLE FOR YOUR CHOICE OF END USE OF THE INFORMATION PROVIDED BY OUR SYSTEM. THE RESPONSIBILITY FOR HOW INFORMATION IS USED RESTS ENTIRELY WITH YOU, THE END USER.

6. Indemnification
You agree on our demand to defend, indemnify, and hold harmless AAISI, its affiliates, officers, directors, employees, and agents (“AAISI Parties”) from and against any and all claims, damages, amounts paid in settlement, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to reasonable attorney’s fees administrative and expert fees and costs) arising from:

• Your use of and access to the Services.
• Your actual or alleged violation of any term of these Terms.
• Your actual or alleged violation of any third-party right, including without limitation any copyright, property, or privacy right.
• Any claim that your use of the information provided by the Services caused damage to a third party.
• Assessing or responding to any subpoena, order, directive, request, motion, or the like, issued by a court, arbitrator, party in a legal proceeding, federal, state or local law enforcement, regulatory or administrative agency or department, or otherwise, in connection with any investigation, civil or criminal legal proceeding or otherwise.

You agree to promptly advise AAISI and any relevant AAISI Parties, and timely provide to them, at your expense, copies of all relevant documentation or information concerning any matter or event which could reasonably result in a claim by the AAISI Parties for indemnification as provided above. You agree to cooperate in good faith with AAISI Parties in protecting or taking action with respect to their rights under this indemnification provision.
This indemnification obligation will survive these Terms and your use of the Services.

7. Governing Law; Dispute Resolution and Remedy Limitation
These Terms shall be governed by the laws of the United States and the State of Michigan, without regard to conflicts of law analysis. Any claim or dispute between you and the Company that arises in whole or in part from the Services shall be decided under Michigan law. You and any company or other party you represent agree to be bound by the application of Michigan law. You further agree that any disputes between you and the Company shall be exclusively resolved in the state and federal courts serving the locality of Kent County, Michigan. To this end, you agree to submit to the exercise of personal and subject matter jurisdiction and venue such courts.

Except as provided below, no legal cause of action or claim may be brought by you, or your affiliates, representatives, successors or assigns, against the Company, its affiliates, officers, directors, employees, agents or representatives, unless such legal cause of action or claim is commenced within one (1) year after occurrence of the event(s) or circumstances allegedly giving rise to such legal cause of action or claim. The foregoing provision is enforceable only to the extent it is not in violation of federal or state law. Nothing in this Agreement is intended to waive or limit any rights granted under federal or state laws which cannot legally be waived or limited.

8. Changes to These Terms
The Company reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the “Last Updated” date. Your continued use of the Services after any such change constitutes your acceptance of such new Terms and your continuing agreement to the exercise of personal and subject matter jurisdiction and venue by such Courts to determine any issue that may arise between you and the Company.
